In 2026 Indian business landscape having a good cash flow is a key aspect of running a successful MSME business. Here is a comprehensive guide on how to use it to protect your cash flow.

 

1. Know Your Rights: The "45-Day Rule"

Under the MSMED Act, 2006, the law is heavily on your side. Here are the key protections:

·         The Deadline: Buyers must pay you within the agreed period, which cannot exceed 45 days from the day of acceptance of goods or services.

·         No Agreement? If there is no written contract, the deadline is just 15 days.

·         The Penalty Interest: If a buyer delays, they are legally liable to pay you triple (3x) the RBI Bank Rate in compound interest.

·         Tax Consequences for Buyers: Under Section 43B(h) of the Income Tax Act, buyers cannot claim a tax deduction for payments made to MSMEs until the payment is actually made.

 

2. Who Can File a Claim?

To use the Samadhaan/ODR system, you must meet three criteria:

1.     Registration: You must have a valid Udyam Registration.

2.     Category: You must be a Micro or Small enterprise. (Medium enterprises are currently not eligible to file delayed payment cases via this portal).

3.     Timing: Your Udyam registration must have been active before the date of the disputed invoice.

 

3. Step-by-Step: Filing Your Case

As of 2026, the Ministry of MSME has transitioned new filings to the MSME ODR (Online Dispute Resolution) system for faster processing.

Step 1: Documentation

Before logging in, prepare a single PDF containing:

·         The Invoices: Clearly showing the date and amount.

·         Proof of Delivery: Lorry receipts, E-way bills, or signed delivery challans.

·         Purchase Order (PO): If you don’t have one, you may need to provide an affidavit.

·         Communication Trail: Emails or WhatsApp reminders sent to the buyer.

Step 2: The Application

1.     Visit the MSME Samadhaan/ODR Portal.

2.     Log in using your Udyam Registration Number and the OTP sent to your registered mobile.

3.     Enter the Buyer’s Details (PAN, GSTIN, and Address are crucial).

4.     Upload your documents and submit.

Step 3: The "15-Day Notice"

Once you file, the system sends an automated notice to the buyer. In many cases, the mere "official" nature of this notice prompts buyers to settle immediately to avoid being flagged on a public government dashboard.

 

4. What Happens Next?

If the buyer doesn't pay within 15 days of the notice, the case moves to the MSEFC (Micro and Small Enterprise Facilitation Council):

·         Conciliation: The council tries to help both parties reach an amicable settlement via video conferencing.

·         Arbitration: If conciliation fails, the council acts as an arbitrator (or appoints one) to pass a final "Award" (judgment).

·         The "75% Rule": If the buyer wants to challenge the council’s decision in court, they must first deposit 75% of the awarded amount with the court. This prevents buyers from using "legal delay tactics."

 

5. Pro-Tips for a Successful Recovery

·         Verify Your Buyers: Before signing a deal, check if the buyer has a history of defaults on the Samadhaan "Public Data" dashboard.

·         Mention the Act on Invoices: Add a small footer to your invoices: "We are a registered Micro/Small Enterprise under the MSMED Act, 2006. Payments delayed beyond 45 days attract interest at 3x the RBI Bank Rate."

·         Don't Wait: Many MSMEs wait months out of fear of "spoiling the relationship." In reality, a buyer who doesn't pay is not a "client"—they are a liability.
